TERMS OF SERVICE

1. Introduction
These Terms of Service ("Terms") govern the provision of managed hosting and infrastructure services ("Services") by Trcoms LTD ("Trcoms", "we", "us", "our") to the client ("Client", "you").
By purchasing or using our Services, you agree to be legally bound by these Terms.
2. Services
Trcoms provides managed hosting services, including but not limited to:
- Server provisioning
- Infrastructure management
- Monitoring and security configuration
- Backup services (where included in plan)
The scope of Services is defined by the selected plan, proposal, or invoice.
3. Eligibility
You must have legal capacity to enter into a binding agreement under the laws of England and Wales.
Where acting on behalf of a company or organisation, you confirm you have authority to bind that entity.
4. Fees and Payment
- Fees are payable monthly in advance unless otherwise agreed in writing.
- All fees are exclusive of VAT unless stated otherwise.
- Payment must be received by the invoice due date.
- Failure to pay may result in suspension or termination of Services.
5. Non-Payment and Data Deletion
If payment is overdue by 7 days, Services may be suspended.
If payment remains outstanding for 30 days after the due date:
- The server will be permanently suspended.
- All hosted data may be irreversibly deleted without further notice.
The Client acknowledges that:
- Trcoms shall not be liable for data loss arising from non-payment.
- The Client is solely responsible for maintaining independent backups.
6. Client Responsibilities
The Client shall:
- Ensure timely payment of fees
- Maintain independent backups of all hosted data
- Comply with all applicable laws
- Ensure hosted content does not infringe third-party rights
- Maintain secure credentials and access controls
7. Acceptable Use
Clients must not use the Services for:
- Illegal activity
- Hosting malicious software
- Distribution of spam
- Intellectual property infringement
- Unauthorised cryptocurrency mining
- Activity that disrupts network integrity
Trcoms reserves the right to suspend Services immediately upon breach.
8. Data Ownership and Control
- All hosted data remains the exclusive property of the Client.
- Trcoms does not sell, mine, or commercially exploit Client data.
- Dedicated servers are provisioned exclusively to the Client and are not shared with other customers.
- Trcoms may access systems only for support, security, or legal compliance.
9. Service Availability
- Trcoms aims for 99.9% uptime, excluding scheduled maintenance and force majeure events.
- Maintenance may occur with reasonable notice.
- Trcoms does not guarantee uninterrupted or error-free service.
10. Backups
Where backups are included:
- They are provided as a convenience.
- Restoration is not guaranteed in all circumstances.
- The Client remains responsible for maintaining independent backups.
11. Limitation of Liability
Nothing in these Terms excludes liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Any liability which cannot lawfully be excluded
Subject to clause 11.1:
- Trcoms shall not be liable for indirect or consequential loss.
- Total liability shall not exceed the total fees paid by the Client in the preceding 3 months.
12. Indemnity
The Client agrees to indemnify and hold harmless Trcoms against claims arising from:
- Unlawful content
- Intellectual property infringement
- Breach of these Terms
13. Termination
Either party may terminate Services with written notice.
Upon termination:
- Outstanding fees remain payable.
- Data must be requested prior to termination or suspension.
Data may be permanently deleted following termination.
14. Force Majeure
Trcoms shall not be liable for failure to perform due to events beyond reasonable control, including but not limited to:
- Natural disasters
- Cyberattacks beyond reasonable defence
- Data centre outages
- Government action
15. Amendments
Trcoms may update these Terms periodically. Continued use of Services constitutes acceptance of revised Terms.
16. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction over any dispute arising under or in connection with these Terms.
